2. Services
2.1 Service Description
PaphTech provides professional website services including but not limited to:
- Emergency website repair and recovery
- Complete website redesign and development
- Ongoing website maintenance and monitoring
- Website speed optimisation
- Security hardening and malware removal
- SEO and analytics setup
2.2 Free Audit
Our free website audit is provided at no cost and no obligation. The audit report is for informational purposes only and does not constitute a guarantee of any specific outcome if services are engaged.
2.3 Service Delivery
All timelines quoted are estimates. While we make every effort to meet agreed timelines, delays may occur due to factors outside our control, including client response times, third-party platform issues, or technical complexity discovered during the project.
3. Payment Terms
- One-time services — Payment is due upon project completion unless otherwise agreed in writing.
- Monthly plans — Billed monthly in advance. First payment is due upon plan activation.
- Late payments — Invoices unpaid after 14 days may incur a 1.5% monthly late fee.
- Cancellation — Monthly plans may be cancelled with 30 days written notice. No refunds are issued for the current billing period.
- Disputes — Any billing disputes must be raised within 7 days of the invoice date.
4. Client Responsibilities
To enable us to provide our services effectively, you agree to:
- Provide accurate and complete information about your website and requirements.
- Grant us appropriate access to your website, hosting, and relevant accounts necessary for the work.
- Respond to requests for feedback, approvals, or information within a reasonable timeframe.
- Ensure you have the right to authorise work on any website or digital property you submit to us.
- Maintain your own backups of your website and data prior to our engagement.
- Not use our services for any unlawful, harmful, or abusive purpose.
5. Intellectual Property
5.1 Your content
You retain full ownership of all content, branding, and materials you provide to us. By engaging our services, you grant us a limited, non-exclusive licence to use your materials solely for the purpose of delivering the agreed services.
5.2 Deliverables
Upon receipt of full payment, all custom work created specifically for you becomes your property. This includes custom code, design assets, and written content created exclusively for your project.
5.3 Our tools and frameworks
Pre-existing tools, frameworks, libraries, and methodologies we use to deliver services remain our property or are subject to their respective open-source licences. This does not affect your right to use the final deliverables.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. We will:
- Not disclose your website credentials, business data, or client information to any unauthorised third party.
- Use your confidential information solely for the purpose of delivering the agreed services.
- Delete or return credentials and access details upon project completion or upon your request.
We may reference your business name and website (with your permission) in our portfolio and case studies.
7. Warranties & Disclaimers
We warrant that:
- Services will be performed with reasonable skill and care by qualified professionals.
- We will act in good faith in all dealings with you.
We do not warrant that:
- Our services will be uninterrupted or error-free at all times.
- Any specific outcome (such as search rankings, conversion rates, or uptime) will be achieved.
- Third-party platforms, plugins, or services we work with will remain stable or available.
Our services are provided "as is" to the extent permitted by applicable law.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you to us in the 3 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We are not liable for data loss if you have not maintained adequate backups of your website and data.
- We are not liable for issues caused by third-party services, hosting providers, or platform changes beyond our control.
9. Termination
Either party may terminate a service engagement:
- Monthly plans — with 30 days written notice to [email protected].
- Project-based work — by mutual written agreement.
- Immediate termination by us — if you breach these Terms, fail to pay, or use our services for unlawful purposes.
Upon termination, any outstanding invoices become immediately due. We will return your credentials and provide a reasonable handover period.
10. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation within 30 days of the dispute arising. If unresolved, disputes shall be referred to mediation before any legal proceedings are initiated. Contact us first at [email protected].
11. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes not resolved through negotiation or mediation shall be subject to the exclusive jurisdiction of the relevant courts.
12. Changes to Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted at this URL with a revised "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms. For material changes, we will notify active clients by email.
